1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the OneTerp platform at oneterpsched.com, provided by OneTerp LLC (“OneTerp,” “we,” “us”). By creating an account, checking a box indicating your acceptance, or otherwise accessing or using the platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the platform. If you are agreeing on behalf of an organization, you represent that you have authority to bind it, and “you” refers to that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the platform. The platform is intended for business use by interpreting agencies and the interpreters who work with them, and is not directed to consumers for personal, family, or household purposes.

3. The service

OneTerp provides scheduling, dispatch, billing, and related tools for interpreting agencies and interpreters. We may add, change, or remove features over time, and may set or modify usage limits. We do not provide interpreting services, and we are not a party to any assignment, engagement, or transaction arranged through the platform.

4. Accounts and roles

  • You are responsible for the accuracy of your account information and for keeping your credentials secure.
  • You are responsible for activity that occurs under your account.
  • Access is granted by role (e.g. owner, admin, coordinator, interpreter); you agree to use only the access granted to you.
  • Notify us promptly of any unauthorized use of your account.

5. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to access data or accounts that do not belong to you.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the platform or its infrastructure.
  • Upload malicious code or misuse the platform’s communications features (including sending unlawful messages).
  • Copy, resell, sublicense, reverse engineer, or create derivative works from the platform except as permitted by law.

6. Relationships between users; OneTerp is not a party

OneTerp is a software tool. Agencies and interpreters use the platform to coordinate their own working relationships, assignments, rates, invoicing, and payments. OneTerp is not a party to those relationships, is not an employer, staffing agency, or joint employer of any interpreter or agency staff, and is not responsible for: the engagement, classification (such as employee versus independent contractor), supervision, conduct, performance, or qualifications of any user; or the payment, non-payment, or amount of any fees, wages, payouts, or invoices between users. Nothing in these Terms or the platform creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and OneTerp. Billing and payout features within the platform are record-keeping and facilitation tools only; the underlying obligations are solely between the relevant users.

7. Customer data and protected health information

As between you and OneTerp, you retain ownership of the data you submit. Where you process protected health information (PHI) through the platform, that processing is governed by a separate Business Associate Agreement between your agency and OneTerp; in the event of a conflict regarding PHI, the Business Associate Agreement controls. You are responsible for having all necessary rights, consents, and authorizations for the data you submit, and for complying with the laws that apply to it.

8. Messaging and SMS

The platform can send transactional messages by email and, where enabled, SMS text message (for example, assignment offers and reminders). By providing a phone number and opting in, you consent to receive such messages; message and data rates may apply, and frequency varies. You can opt out of SMS at any time by replying STOP to a message or by changing your notification settings, and reply HELP for help. You are responsible for obtaining any consents required before sending messages to others through the platform.

9. Subscriptions and billing

Paid plans, fees, and billing cycles are presented at sign-up or in your account settings and are processed by our third-party payment processor. Subscriptions renew automatically for the same period until cancelled. Fees are billed in advance and, except as required by law, are non-refundable, including for partial periods. You may cancel at any time; access continues through the end of the current paid period and does not renew thereafter. Free trials, promotional codes, and discounts apply only as described at the time of offer and may be changed or withdrawn. We may change pricing on a prospective basis with reasonable notice. You authorize us and our payment processor to charge your selected payment method for applicable fees and taxes.

10. Third-party services

The platform may integrate with third-party services (for example, accounting, payment, or messaging providers). Your use of those services is subject to their own terms, and we are not responsible for them.

11. Intellectual property and feedback

The platform, including its software, design, and content (excluding your data), is owned by OneTerp and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the platform in accordance with these Terms. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it to improve the platform, without obligation to you.

12. Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the platform will be uninterrupted, error-free, or secure, and we are not responsible for the acts or omissions of any user.

13. Limitation of liability

To the fullest extent permitted by law, OneTerp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the platform. Our total liability for all claims relating to the platform will not exceed the greater of the amount you paid us for the platform in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless OneTerp and its owners, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your data, your use of the platform, your relationships or dealings with other users, or your violation of these Terms or applicable law.

15. Termination

You may stop using the platform at any time. We may suspend or terminate access if you violate these Terms or to protect the platform or its users. On termination, your right to use the platform ends; certain provisions (including those on data, disclaimers, liability, indemnification, and governing law) survive by their nature.

16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. The state and federal courts located in the Commonwealth of Kentucky will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to that venue. Before filing a claim, you agree to first contact us at bryan@oneterpscheduling.com and attempt in good faith to resolve the dispute informally for at least 30 days.

17. Miscellaneous

These Terms, together with the Privacy Policy and any Business Associate Agreement, are the entire agreement between you and OneTerp regarding the platform. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control.

18. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above; continued use after changes take effect constitutes acceptance.
